JLDSSS – Restaurant Partner Terms and Conditions
This Agreement ("Agreement") is entered into between JLDSSS ("Company") and the
restaurant partner ("Restaurant") to set forth the terms and conditions for the provision of
food delivery services through the JLDSSS platform. By signing this Agreement, the
Restaurant agrees to the following terms and conditions.
1. General Terms
1.1 Partnership Agreement: By registering with JLDSSS, the Restaurant agrees to partner
with the Company for providing food delivery services. This Agreement governs the
relationship between the parties for the duration of the partnership.
1.2 Eligibility: The Restaurant must meet all legal, health, and safety standards as required
by local authorities to operate legally. The Restaurant must hold all necessary licenses,
permits, and approvals required for food preparation and sale.
2. Restaurant Responsibilities
2.1 Menu and Pricing: The Restaurant agrees to provide accurate and up-to-date menu
details, including item descriptions, prices, and any special offers. The Restaurant is
responsible for maintaining the menu on the JLDSSS platform.
2.2 Order Preparation: The Restaurant must prepare and package all orders with care and in
compliance with health and safety regulations. The Restaurant must ensure food quality and
hygiene standards are maintained at all times.
2.3 Timeliness of Delivery: The Restaurant agrees to prepare and pack orders in a timely
manner as specified by JLDSSS. Any delays in food preparation must be communicated
promptly to JLDSSS, and appropriate actions must be taken to address customer
expectations.
2.4 Customer Service: The Restaurant agrees to provide the highest standards of customer
service. Any complaints regarding food quality, order discrepancies, or other issues must be
addressed promptly by the Restaurant, with support from JLDSSS where necessary.
3. Compensation and Payments
3.1 Commission and Payment Structure: JLDSSS will charge a commission based on the
total sale value for each order fulfilled through the platform. The commission rate will be
agreed upon prior to registration and may vary based on specific promotions, offers, or other
agreements.
3.2 Payment Schedule: Payments for completed orders will be made to the Restaurant on a
weekly or monthly basis (as agreed upon). JLDSSS will provide a statement of earnings for
each period, detailing the total orders processed, commissions charged, and any additional
fees.
3.3 Refunds and Disputes: If a customer disputes an order, requests a refund, or claims
food-related issues, JLDSSS will work with the Restaurant to resolve the issue. The
Restaurant agrees to issue a refund (if required) for any faulty orders, subject to the agreed
refund policy.
4. Quality Control and Audits
4.1 Monitoring: JLDSSS reserves the right to monitor the quality of food, packaging, and
service provided by the Restaurant. This includes customer feedback, periodic quality checks,
and compliance with food safety regulations.
4.2 Audits: JLDSSS may conduct periodic audits to ensure compliance with the terms of this
Agreement. This includes verifying that the menu items, pricing, and hygiene practices meet
the standards set by JLDSSS and regulatory authorities.
5. Marketing and Promotion
5.1 Promotion of Menu: JLDSSS may, at its discretion, promote the Restaurant’s menu
items on the app, website, or through other marketing channels. The Restaurant agrees to
allow JLDSSS to use the Restaurant’s name, images, and menu details for promotional
purposes.
5.2 Discounts and Offers: The Restaurant may collaborate with JLDSSS on special
promotions, discounts, or seasonal offers. Any promotional agreements will be subject to
mutual consent and will be detailed in separate agreements.
6. Liability and Indemnity
6.1 Indemnity: The Restaurant agrees to indemnify and hold harmless JLDSSS, its
employees, agents, and affiliates from any claims, damages, or losses resulting from the
Restaurant’s actions, including food quality issues, delivery delays, or failure to comply with
applicable laws.
6.2 Liability: JLDSSS will not be liable for any direct or indirect damages caused by the
Restaurant’s failure to fulfill orders, provide accurate information, or adhere to food safety
standards.
7. Confidentiality
7.1 Confidentiality Obligations: Both parties agree to maintain the confidentiality of any
sensitive or proprietary information shared during the course of this Agreement. This
includes but is not limited to customer information, pricing, marketing strategies, and
financial details.
7.2 Non-Disclosure: Neither party will disclose any confidential information to third parties
without prior written consent, except as required by law.
8. Termination of Agreement
8.1 Termination by JLDSSS: JLDSSS reserves the right to terminate this Agreement with
immediate effect if the Restaurant fails to meet the terms of this Agreement, including failure
to maintain food quality standards, frequent customer complaints, or non-compliance with
applicable regulations.
8.2 Termination by Restaurant: The Restaurant may terminate this Agreement by providing
written notice to JLDSSS at least [insert notice period]. Upon termination, any pending
orders must be completed, and payments for those orders will be processed as usual.
8.3 Post-Termination Obligations: Upon termination, the Restaurant must remove all
branding, menu listings, and promotional material related to JLDSSS. Any outstanding
payments or refunds will be settled according to the payment schedule.
9. Data Privacy and Security
9.1 Data Collection: Both parties agree to comply with applicable data protection laws and
regulations. The Restaurant agrees to maintain the confidentiality of any customer data
shared by JLDSSS, and to use such data solely for the purpose of fulfilling orders.
9.2 Security Measures: The Restaurant agrees to implement appropriate security measures to
protect customer data and other sensitive information shared through the JLDSSS platform.
10. Modifications to the Agreement
10.1 Amendments: JLDSSS reserves the right to amend this Agreement at any time. Any
changes will be communicated to the Restaurant in writing, and continued participation in the
platform signifies acceptance of the modified terms.
11. Governing Law and Dispute Resolution
11.1 Governing Law: This Agreement shall be governed by and construed in accordance
with the laws of India.
11.2 Dispute Resolution: Any disputes arising from this Agreement shall be resolved
through arbitration in Majarpara, B-12,saltlack sec-iv.khashmahal,north 24 pargana.
